Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Soon platform and services provided by Soon Technologies B.V. (“Soon,” “we,” “us,” or “our”), a company registered in the Netherlands (KvK 75939401) with its registered office at Herengracht 420, 1017 BZ Amsterdam. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the platform. If you are using the platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Ownership

The Soon platform, including all software, design, text, graphics, logos, icons, and other content, is the exclusive property of Soon Technologies B.V. and is protected by applicable intellectual property laws, including copyright, trademark, and patent laws.

You retain all rights to the content and data you upload to or create within the platform (“User Content”). By uploading User Content, you grant us a limited, non-exclusive, non-transferable, royalty-free license to use, store, reproduce, and process that content solely for the purpose of providing and improving the service.

Soon’s name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Soon Technologies B.V. You must not use such marks without our prior written permission.

3. User Registration

To use the Soon platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that violate these Terms, that contain false or misleading information, or that have been inactive for an extended period, with prior notice where practicable.

4. Free Trials

We may offer free trials of the Soon platform for a limited period. At the end of the trial period, your access to paid features will be suspended unless you subscribe to a paid plan. We reserve the right to modify or discontinue free trial offers at any time without prior notice.

During a free trial, the platform is provided “as is” without any warranties. We may limit certain features or functionality during the trial period.

5. Payment

5.1 Acceptance

By subscribing to a paid plan, you agree to pay all applicable fees as described on our pricing page or as otherwise communicated to you. You authorize us to charge your designated payment method for all fees incurred in connection with your use of the platform.

5.2 Interpretation

All fees are stated exclusive of applicable taxes unless otherwise indicated. You are responsible for any applicable taxes, levies, or duties imposed by taxing authorities. Fees are quoted in the currency specified on our pricing page and are non-negotiable unless otherwise agreed in writing.

5.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hello@soon.works. Upon cancellation, your subscription will remain active until the end of the current billing period. After that, your account will revert to the free tier or be deactivated, depending on the plan.

5.4 Refunds

Fees are generally non-refundable except where required by applicable law. If you believe you are entitled to a refund, please contact us at hello@soon.works and we will review your request on a case-by-case basis.

6. Soon Service

6.1 Service Description

Soon provides a software-as-a-service platform designed to help teams manage and coordinate their work, schedules, and availability. We reserve the right to modify, update, or discontinue any part of the service at any time with reasonable notice.

6.2 Service Availability

We will make commercially reasonable efforts to ensure the platform is available and operational. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, and unforeseen technical issues may result in temporary service interruptions.

6.3 Acceptable Use

You agree to use the Soon platform only for lawful purposes and in accordance with these Terms. You shall not use the platform in any way that violates applicable laws or regulations, attempt to gain unauthorized access to the platform or related systems, transmit malicious code, use the platform for spam or unsolicited communications, or interfere with the platform’s integrity or performance.

6.4 Data Backup

While we maintain regular backups of platform data, you are responsible for maintaining your own backup copies of important User Content. We are not liable for any loss of data arising from service interruptions, account termination, or other circumstances.

6.5 API Usage

If we make APIs available to you, your use of such APIs is subject to these Terms and any additional API-specific terms we may publish. We reserve the right to limit API usage and to modify or discontinue API access at any time.

6.6 Third-Party Integrations

The platform may integrate with or provide links to third-party services. Your use of such services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services, and your use of them is at your own risk.

6.7 Modifications to the Service

We may modify, update, or discontinue features of the platform at any time. We will make commercially reasonable efforts to notify you of significant changes that may materially affect your use of the platform. Continued use of the platform after such changes constitutes your acceptance of the modified service.

7. Release and Indemnity

You agree to indemnify, defend, and hold harmless Soon Technologies B.V., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the platform, your violation of these Terms, or your infringement of any third-party rights.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, riots, power failures, internet or telecommunications failures, or cyberattacks.

8. Passwords & Account Access

You are responsible for safeguarding the password and any other credentials used to access your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities that occur under your account, whether or not you have authorized such activities. You must immediately notify us of any unauthorized use of your account.

9. Disclaimer and Liability

The Soon platform is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Soon Technologies B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the platform.

Our total aggregate liability for all claims arising from or related to the platform shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

The platform may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.

10. Claims of Infringement

If you believe that any content on the Soon platform infringes your intellectual property rights, please notify us at hello@soon.works with a detailed description of the alleged infringement, including the specific content in question, proof of your ownership or authorization, and your contact information. We will review and respond to valid infringement claims in accordance with applicable law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands (Dutch Law), without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in The Hague, the Netherlands.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the original provision.

13. Customer Support

We provide customer support for the Soon platform via email. You can reach our support team at hello@soon.works. We will make commercially reasonable efforts to respond to support requests in a timely manner during business hours.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the platform after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the platform.

15. Electronic Communications

By creating an account on the Soon platform, you consent to receive electronic communications from us, including emails related to your account, service updates, and transactional notices. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
